                      Dear Mr. Katz:

                              This is in further response to your letter of December 11, 1998 regarding the web
                      page called 'The Matthew Katz Legacy Page.' I have now spoken with Jerry, Don,
                      Peter and Bob who individually and collectively deny any role in the creation or
                      maintenance of that web site.  Each of them expressed to me their unhappiness that
                      anyone would put forth offensive material of the type described in your letter.

                              I finally located the web site prior to calling the band members yesterday and
                      this morning.  I share the band's opinion and yours that much of the material on that
                      site is offensive and inappropriate.  The band members have told me that to the extent
                      that they are able to do so, they will try to spread the word to anyone who will listen
                      that the web site is offensive to them and totally contrary to their image and spirit.  I
                      have also authorized them to threaten litigation if that web site activity is continued in
                      association with the hand name or any of their individual nanws.

                              The existence of that web site is repugnant to the members of Moby Grape and
                      to me. To the best of my knowledge we have always tried to take the high road                        
                      our dealings with you despite the fact that we are involved inserious litigation.
